General Business Law

General Business Law

Our business practice covers a wide range of legal services from corporate formation and review of governance documents to the merger, sale and acquisition of businesses. We negotiate and draft all types of contracts, including buy/sell, shareholder, joint venture, partnership, limited liability company, dealership, real estate, computer, and license agreements.

We take an active role in offering both practical and legal advice.  We seek to be involved at the inception of a business entity, and on an ongoing basis, advising on the structure of organization through operating contracts, representation in acquisitions and mergers, and consultation on debt and equity offerings.

The breadth of our experience enables us to handle legal problems and transactional projects for clients ranging from individuals and small closely held corporations to major public corporations. While larger law firms typically assign overall responsibility for business transactions to junior attorneys, our principals personally supervise transactional work with efficient and competent support.

We staff transactions with a team approach, utilizing outside expertise where warranted, affording depth and balance in addressing legal and practical issues. In approaching each assignment, we strive to be cost-conscious, staffing as efficiently as possible to achieve the client’s objectives.
